Terms of Use
1. Acceptance of these Terms
By accessing or using ghostsmarthomes.com, managed.ghostsmarthomes.com, or any of the per-service-line subdomains operated by Ghost Smart Homes ("Ghost Smart Homes," "we," "us," "our"), you agree to be bound by these Terms of Use ("Terms"). If you don't agree, please don't use the Sites.
You must be at least 18 years old (or the legal age of majority where you live) to use the Sites or commit to any deposit.
2. What these Terms cover (and don't)
These Terms cover your use of the Sites: browsing, joining a waitlist, paying a refundable founders' deposit, booking a free audit, or contacting us. They do not govern the actual delivery of any managed service. Once we begin providing a managed service to you, a separate written Service Agreement will set the legal terms of that relationship — including SLAs, automation liability caps, data handling, and cancellation. In any conflict between these Terms and a signed Service Agreement, the Service Agreement controls.
3. Waitlist and refundable founders' deposit
3.1 Waitlist signups
Joining our waitlist is free. You can leave any time by clicking "unsubscribe" in any email or emailing hello@ghostsmarthomes.com. Joining doesn't guarantee you'll be offered service.
3.2 Refundable founders' deposit
If you choose to make a $50 refundable founders' deposit, the following apply:
- It's refundable. Email hello@ghostsmarthomes.com any time and we'll refund it within 10 business days. No reason needed.
- It applies to your first three months. If you sign up for a service, the $50 will be credited to your first three months of service.
- It does not entitle you to service. If we decide we can't serve your area, can't deliver what you need, or just can't take more customers, we'll refund the deposit promptly. You're not buying a slot — you're reserving consideration.
- Stripe processes the payment. See our Privacy Policy for details on what data flows where.
- Currency: all prices are in U.S. dollars unless noted.
4. Free audits, reviews, and consultation calls
We offer free audits, reviews, and consultation calls (e.g., "free 30-minute network audit"). These are real audits — not high-pressure sales meetings. We'll give you our honest read on your situation in writing. You're under no obligation to buy anything afterward. We reserve the right to decline to schedule or to end an audit if it becomes abusive, off-scope, or impractical.
5. Acceptable use
When using the Sites, you agree not to:
- Submit false, misleading, or someone else's information.
- Attempt to interfere with, probe, or compromise the Sites' security.
- Scrape, mirror, or systematically copy the Sites for commercial purposes without our written permission.
- Use the Sites to harass, threaten, or send unsolicited bulk communication.
- Violate any law in connection with your use.
If you find a security issue, please report it to security@ghostsmarthomes.com rather than exploiting it. We appreciate good-faith research.
6. Intellectual property
The Sites, including text, graphics, logos, code, and the design system, are owned by Ghost Smart Homes or our licensors and are protected by U.S. and international copyright and trademark law. "Ghost Smart Homes" and the Ghost Smart Homes mark are our trademarks. You may not use them without permission, except for fair-use commentary and reporting.
We may ship some of our software (notably the Home Assistant agent) under an open-source license. The license file in the relevant repository governs your use of that software, not these Terms.
7. Third-party services
We integrate with services like Stripe, Calendly, Cloudflare, and Google Workspace. When you interact with those services through the Sites, the third party's terms and privacy policy also apply. We're not responsible for their conduct or content.
8. Disclaimers
The Sites are provided "as is." To the fullest extent permitted by law, we disclaim all warranties, express or implied, including but not limited to merchantability, fitness for a particular purpose, non-infringement, and uninterrupted availability. Information on the Sites is for general information only and may contain mistakes, typos, or out-of-date material.
Nothing on the Sites constitutes professional advice (legal, electrical, networking, or otherwise) until you sign a Service Agreement and we begin a paid engagement.
9. Limitation of liability
To the fullest extent permitted by law: Ghost Smart Homes, our directors, employees, and contractors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or in connection with your use of the Sites — even if we were advised of the possibility.
Our total cumulative liability arising from your use of the Sites (excluding any signed Service Agreement, which has its own liability terms) will not exceed the greater of (a) one hundred U.S. dollars ($100) or (b) the amount you've paid us in the twelve months preceding the claim.
Some jurisdictions don't allow these limitations; in those places they apply only to the extent permitted.
10. Indemnification
You agree to defend, indemnify, and hold harmless Ghost Smart Homes from any claim, damage, loss, or expense (including reasonable attorneys' fees) arising out of (a) your violation of these Terms, (b) your misuse of the Sites, or (c) your violation of any third-party right.
11. Governing law and disputes
These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles. The exclusive venue for any dispute will be the state and federal courts located in San Diego County, California, and you consent to the personal jurisdiction of those courts.
Before filing any legal action, you agree to first contact us in writing to attempt informal resolution. We'll do the same. Both parties waive the right to a jury trial for any dispute under these Terms, to the extent permitted by law.
12. Changes to these Terms
We may update these Terms from time to time. Material changes will be communicated by email to anyone on our list and posted with an updated "Effective date" at the top. Continued use of the Sites after a change means you accept the new Terms.
13. Termination
We can suspend or terminate your access to the Sites at any time, for any reason, with or without notice — particularly for violation of these Terms or applicable law. Sections that by their nature should survive termination (intellectual property, disclaimers, limitation of liability, governing law) will survive.
14. Miscellaneous
- If any provision of these Terms is held unenforceable, the rest remains in force.
- Our failure to enforce a provision isn't a waiver of our right to do so later.
- You may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets.
- These Terms, together with the Privacy Policy and any Service Agreement, are the entire agreement between us regarding the Sites.
- Headings are for convenience only and don't affect interpretation.
